Licensing Agreement:

This agreement is between the purchaser of the software (Licensee) and Art Dept (nsw) Pty Ltd trading as ArtistScope. By submitting for a license for CopySafe, the Licensee agrees to become bound by the terms of this agreement.

1. As used in this Agreement, "ArtistScope" shall mean Art Dept (nsw) Pty Ltd.

2. ArtistScope, as Licensor, grants the Licensee a non-exclusive right to use CopySafe for unlimited use on the nominated web site/s. Licensee may not assign or otherwise transfer the License to use the Software.

3. CopySafe and instructions for use are provided as is and without warranty of any kind. ArtistScope does not warrant or make representation otherwise than in this Agreement and the Licensee assumes the entire risk as to the results and performance of the software. No oral or written advice given by ArtistScope or its agents shall create a warranty or in any way increase the scope of this warranty and you may not rely on such advice.

4. Title, ownership rights and intellectual property in the Software shall remain with ArtistScope. The Licensee acknowledges that no ownership or intellectual property rights whatsoever shall vest in them by virtue of the use of this Software and/or registration pursuant to this Agreement.

5. ArtistScope reserves the right to terminate this Agreement and/or refuse support if Licensee breaches any of its terms. Upon termination, Licensee shall destroy all copies of CopySafe software without recourse.

6. This agreement is to be taken in whole including the statements as to the performance of the software, license pricing and limitations.

7. Licensee agrees to not act in any way to plagiarize methods and components of the CopySafe system, nor to make available for publication or review to any third party, any documentation that may undermine CopySafe's security and methodology.

8. Licensee agrees that they or their agent has reviewed the performance of the CopySafe system by evaluating a trial or demonstration and deemed it suitable for the Licensee's requirements. Licensee further agrees that this order cannot be cancelled after delivery and that there are no refunds.

9. In the case of any claim of deficiency or failure of the software to perform as the demonstration or described, ArtistScope reserves the right to prove functionality by completing installation and Licensee agrees to provide unrestricted access to the ArtistScope team to complete the task.
